Jernkontoret’s owners and governing board
Jernkontoret is owned, since 1747, by Sweden’s iron and steel companies which exercise their influence over Jernkontoret through the Society of Ironmasters. It is the Society of Ironmasters that appoints Jernkontoret’s Council, the organisation’s governing board. The Council then sets the strategic direction for Jernkontoret’s activities.
Jernkontoret’s structure is that of an entity governed by public law with private co-ownership. The ownership is not tied to persons or companies but directly to each iron or steel works.
Ever since 1747, Jernkontoret has been owned by the works that carry out, or have carried out, the production of iron and steel. Each co-owner pays a symbolic fee called the Jernkontorsdalen.
Jernkontoret is constituted under the Jernkontoret Regulation, most recently adopted by the King in Council back in1929 as well as the Statutes for loan operations and other administration.
Co-owners and stakeholders
A list of Jernkontoret’s member companies is often requested but it is important to point out that Jernkontoret is not a membership organisation. It is an industry organisation that represents co-owners and wider interested parties. (Companies may be members of one or other of Jernkontoret’s specialist technical areas, committees or councils.)
Just over 180 iron and steel works are counted as Jernkontoret’s co-owners though the majority of these are inactive. At present, production activities directly connected to the iron and steel industry are carried out at some twenty or so localities. Besides the symbolic Jernkontoresdalern, these active companies pay an annual service fee that funds about half of Jernkontoret’s activities. These companies are mainly steel companies having plants in Sweden where iron and steel is produced or processed.
There are also stakeholders in Jernkontoret. These are companies that are not co-owners but wish to benefit in some degree from the services that Jernkontoret offers.
The Society of Ironmasters
The Society of Ironmasters consists of representatives of the co-owners as well members of Jernkontoret’s governing board (Council). The AGM of the Society of Ironmasters corresponds to the annual shareholders meeting of a joint stock company.
Jernkontoret’s Council
The Society of Ironmasters appoints between twelve and eighteen persons to the Council, which then constitutes Jernkontoret’s governing board.
Councils and committees
Within Jernkontoret, there are nine councils or committees which have an advisory role in respect of Jernkontoret’s board and management concerning different issues.
Management group
Jernkontoret’s Managing Director together with the Heads of Department constitute Jernkontoret’s active management. This management group generally meets twice a month.
